Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you (or the organization you represent, “Customer”) and Tech Digital Group LLC, a Missouri limited liability company (“LocaleFrame”, “we”, “us”), governing access to and use of the LocaleFrame website, Studio, API and related services (the “Service”).

By creating an account, using the API or clicking to accept, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it. An executed order form or enterprise agreement prevails over these Terms where they conflict.

2. Accounts and API keys

• You must provide accurate information and keep it up to date.
• You are responsible for all activity under your account and for keeping API keys and credentials confidential.
• Notify support@localeframe.com promptly of any unauthorized use.
• The Service is intended for business use by users at least 18 years old.

3. Plans, fees and billing

Paid plans are billed in advance on a monthly or annual basis at the prices shown on our Pricing page or in your order form. Annual plans are discounted and are non-refundable except as required by law or stated in an order form. Render quotas reset each billing month and do not roll over.

Fees exclude taxes, which you are responsible for. Overdue amounts may result in suspension after notice. We may change prices on renewal with at least 30 days' notice. Billing questions: billing@localeframe.com.

4. Customer content and outputs

You retain all rights to the product URLs, images, brand assets, voice references and other materials you submit (“Customer Content”). You grant us a limited license to host, process and transmit Customer Content solely to provide the Service to you.

As between you and us, you own the videos, scripts and other outputs generated for you (“Outputs”), subject to your compliance with these Terms and any applicable terms of the underlying model providers. Generative outputs may not be unique, and similar outputs may be generated for other customers.

You represent that you have all rights necessary to submit Customer Content, including rights in product imagery, trademarks and any voice or likeness used for presenter synthesis.

5. Acceptable use

You may not use the Service to:

• Generate deceptive, defamatory, unlawful or infringing content, or false claims about products, health effects or pricing;
• Synthesize the voice or likeness of any person without their documented consent;
• Create content that violates advertising platform policies or consumer-protection laws in your target markets;
• Reverse engineer, scrape or overload the Service, or circumvent rate limits or quotas;
• Violate the usage policies of our model providers, including Anthropic and Runway.

You are responsible for reviewing Outputs and for the advertising claims you publish.

6. Third-party services

The Service relies on infrastructure and AI providers listed on our Security & Subprocessors page. We are responsible for our subprocessors' performance of the Service, but integrations you enable with your own third-party accounts (for example ad platforms) are governed by your agreements with those providers.

7. Availability and support

We aim for high availability but, except for Enterprise customers with a signed service level agreement, the Service is provided without uptime commitments. Scheduled maintenance will be announced in advance where practical. Sandbox and preview features are provided as-is and may change or be withdrawn.

8. Confidentiality and data protection

Each party will protect the other's confidential information with reasonable care. Our processing of personal data is described in our Privacy Policy and, for business customers, our Data Processing Addendum, available on request.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. PREDICTED METRICS SUCH AS RETENTION, THUMBSTOP OR ROAS SCORES ARE ESTIMATES AND NOT GUARANTEES OF CAMPAIGN PERFORMANCE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES PAID OR PAYABLE BY CUSTOMER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO PAYMENT OBLIGATIONS OR A PARTY'S INDEMNIFICATION OBLIGATIONS.

11. Indemnification

You will defend and indemnify Tech Digital Group LLC against third-party claims arising from your Customer Content, your published advertising, or your breach of the Acceptable Use section. We will defend you against third-party claims alleging that the Service itself, as provided by us, infringes their intellectual property rights.

12. Term and termination

You may cancel at any time, effective at the end of the current billing period. Either party may terminate for material breach not cured within 30 days of notice. We may suspend access immediately for security risks or Acceptable Use violations. On termination you may export your Outputs for 30 days, after which Customer Content is deleted as described in our Privacy Policy.

13. Governing law and general

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law rules. The state and federal courts located in Jackson County, Missouri have exclusive jurisdiction. These Terms are the entire agreement on their subject matter; if any provision is unenforceable, the rest remains in effect.
